These Terms and Conditions govern your use of the website RoseCollection.ae and the purchase of products from Al Kouser General Trading LLC (trading as RoseCollection). By accessing our website or placing an order, you agree to be bound by these terms.

RoseCollection is a registered trademark of Al Kouser General Trading LLC, a UAE-based wholesale fabric supplier established in 1992.

2. Acceptance of Terms

By accessing, browsing, or using this website, and/or purchasing products from RoseCollection.ae, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including any additional terms and conditions referenced herein.

If you do not agree to these terms, please do not use our website or services.

3. Business-to-Business (B2B) Nature of Transactions

RoseCollection.ae operates primarily as a wholesale B2B supplier serving:

  • Hotels and Resorts

  • Healthcare Facilities

  • Interior Designers and Decorators

  • Retailers and Showrooms

  • Project Developers and Contractors

  • Commercial Fit-Out Companies

We reserve the right to accept or decline orders at our discretion, particularly those that do not align with our B2B focus.

4. Products and Catalogues

4.1 Product Range

RoseCollection offers over 1,000 SKUs across more than 100 catalogues, including:

  • Natural Fabrics: Linen, Cotton (Anti-Scratch, Pet-Friendly), Jute, Wool Blankets

  • Luxury Textures: Velvet, Chenille (Anti-Scratch, Pet-Friendly), Boucle, Suede, Jacquard

  • Performance Fabrics: Treated Fabrics (FR, Antibacterial, Nano Ceramic, Waterproof, Water-Repellent), Inherent Fabrics, Micro Fabrics, Coolant Fabrics

4.2 Sourcing

Our fabrics are sourced through established import partnerships with:

4.3 Catalogue Accuracy

We strive to ensure that all descriptions, images, and specifications in our catalogues are accurate. However, due to printing and digital display limitations, slight variations in color and texture may occur. We strongly recommend ordering physical swatches before placing bulk orders.

5. Orders and Pricing

5.1 Order Placement

  • Orders can be placed through our website, via email, or by direct contact with our sales team.

  • All orders are subject to acceptance and availability.

  • We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing, or suspected fraud.

5.2 Pricing

  • All prices are quoted in UAE Dirham (AED) unless otherwise specified.

  • Prices are subject to change without prior notice.

  • Bulk order discounts may be available for qualified commercial projects—please contact our sales team.

  • Prices do not include applicable taxes (VAT at 5% will be added where required) or shipping costs unless explicitly stated.

5.3 Order Confirmation

A contract between you and Al Kouser General Trading LLC is formed only when:

  1. We receive your order; and

  2. We send you an order confirmation email acknowledging receipt and acceptance of your order.

6. Payment Terms

6.1 Accepted Payment Methods

  • Bank Transfer (Local and International)

  • Credit/Debit Cards (through secure payment gateway)

  • Cheque (subject to clearance)

  • Letter of Credit (for large international orders)

6.2 Payment Terms for B2B Clients

  • For established clients with credit facilities: payment terms as agreed in writing.

  • For new clients: 100% advance payment or as mutually agreed.

  • For international orders: 50% advance, 50% against shipping documents or confirmed LC.

6.3 Late Payments

We reserve the right to charge interest on overdue amounts at the rate of 2% per month and suspend further deliveries until all outstanding amounts are cleared.

7. Delivery and Shipping

7.1 Delivery Options

We offer:

  • Same-Day Delivery: Available for in-stock items within select UAE areas (orders placed before cut-off time).

  • Next-Day Delivery: Available across major UAE cities.

  • Standard Delivery: 2-5 business days within UAE.

  • International Shipping: To North America, Europe, UK, GCC, Asia, and Africa (shipping times vary by destination).

7.2 Shipping Costs

  • Shipping charges are calculated at checkout based on order weight, volume, and destination.

  • For bulk orders, shipping costs may be quoted separately.

7.3 Risk and Title

  • Risk of loss or damage passes to you upon delivery.

  • Title to products passes to you upon receipt of full payment.

7.4 Delivery Delays

While we strive to meet all delivery commitments, we are not liable for delays caused by circumstances beyond our reasonable control (force majeure).

8. Inspection and Claims

8.1 Upon Receipt

You must inspect all delivered goods immediately upon receipt.

8.2 Shortages or Damages

Any claims for:

  • Shortages

  • Visible damage during transit

  • Incorrect items

must be reported within 48 hours of delivery, accompanied by photographic evidence.

8.3 Latent Defects

Claims for defects not reasonably discoverable upon inspection must be reported within 14 days of discovery.

Failure to notify us within these timeframes constitutes acceptance of the goods and waives your right to reject or claim damages.

9. Returns, Refunds, and Warranties

Please refer to our separate [Refund and Returns Policy] and [Warranty Policy], which are incorporated into these Terms and Conditions by reference.

Key points:

  • Cut yardage and custom orders are non-returnable.

  • Manufacturing defects are covered subject to inspection.

  • Dye lot variations within industry standards are not considered defects.

  • Our comprehensive warranty covers manufacturing defects as specified in the Warranty Policy

10.1 Trademarks

“RoseCollection” and “SunRose” are registered trademarks of Al Kouser General Trading LLC. All rights reserved.

10.2 Copyright

All content on this website, including but not limited to text, graphics, logos, images, catalogues, and software, is the property of Al Kouser General Trading LLC and is protected by UAE and international copyright laws.

10.3 Restrictions

You may not:

  • Reproduce, distribute, or publicly display any content from our website without written permission.

  • Use any trademarks or trade names without prior written consent.

  • Copy our catalogues for commercial redistribution.

11. Limitation of Liability

To the maximum extent permitted by UAE law:

  • Al Kouser General Trading LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products or website.

  • Our total liability for any claim arising out of or relating to these terms or any product purchased shall not exceed the purchase price of the products giving rise to the claim.

  • We are not liable for:

    • Loss of production, profit, or revenue

    • Damage to reputation or goodwill

    • Costs of substitute goods

    • Downtime costs

12. Indemnification

You agree to indemnify, defend, and hold harmless Al Kouser General Trading LLC, its officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of our website or products

  • Your breach of these Terms and Conditions

  • Your violation of any third-party rights

  • Any claim that your actions caused damage to another party

13. Privacy and Data Protection

Your use of our website is also governed by our [Privacy Policy], which explains how we collect, use, and protect your personal data in compliance with UAE Federal Decree-Law No. 45 of 2021 (PDPL).

14. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, war, terrorism, civil unrest

  • Fire, flood, earthquake, natural disasters

  • Pandemics or public health emergencies

  • Government actions, trade restrictions, embargoes

  • Supplier delays, labor disputes, shipping disruptions

  • Power outages, technical failures, cyber attacks

Performance shall be suspended for the duration of the force majeure event, and we shall be entitled to a reasonable extension of time for performance.

15. Governing Law and Jurisdiction

15.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates, including:

  • Federal Law No. 5 of 1985 (Civil Transactions Law)

  • Federal Law No. 18 of 1993 (Commercial Transactions Law)

  • Federal Law No. 15 of 2020 on Consumer Protection (as applicable to commercial entities)

  • Federal Decree-Law No. 45 of 2021 on Personal Data Protection

15.2 Jurisdiction

Any disputes arising out of or in connection with these Terms and Conditions shall first be attempted to be resolved through good faith negotiations. If resolution cannot be reached within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Ajman, United Arab Emirates.

15.3 International Clients

For international clients, we may agree to arbitration under the rules of the Dubai International Arbitration Centre (DIAC) at our discretion.

16. Export Control and Sanctions

Our products are sourced globally and may be subject to export control laws and trade sanctions of various countries. You agree to comply with all applicable export and import laws and regulations. You warrant that you are not located in, under the control of, or a national of any country subject to applicable sanctions.

17. Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ intent.

18. Waiver

No failure or delay by Al Kouser General Trading LLC in exercising any right or remedy under these Terms and Conditions shall operate as a waiver thereof. Any waiver must be in writing and signed by an authorized representative.

19. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Refund and Returns Policy, and Warranty Policy, constitute the entire agreement between you and Al Kouser General Trading LLC regarding your use of our website and purchase of products, superseding all prior agreements and understandings.

20. Amendments

We reserve the right to modify these Terms and Conditions at any time without prior notice. Changes will be effective immediately upon posting on this page. Your continued use of our website following any changes constitutes your acceptance of the revised terms.
